These Terms of Service ("Terms") govern your access to and use of this website (the "Site") operated by Employee Benefits Solutions ("Employee Benefits Solutions," "EBS," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. About This Site (Informational Only)

Nothing on the Site is an offer to sell, a solicitation to buy, or a binding offer of insurance, a warranty, a service contract, or any other product or coverage. Our benefit programs — AutoCerts Essentials (ACE) and Total Tech Protection (TTP) — are distributed through the PrismHR Marketplace and are administered by licensed third-party providers. Eligibility, coverage, terms, exclusions, and claims are governed solely by the applicable program agreements, service guarantees, and certificates provided by those administrators, which control in the event of any conflict with information on the Site.
2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Site. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.
3. Permitted Use and Prohibited Conduct
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful, personal, and business-evaluation purposes. You agree not to:
- use the Site in violation of any applicable law or regulation;
- copy, reproduce, distribute, or create derivative works from the Site's content except as expressly permitted;
- attempt to gain unauthorized access to the Site, its servers, or related systems;
- interfere with or disrupt the integrity or performance of the Site;
- use any robot, scraper, or automated means to access or collect data from the Site without our permission; or
- misrepresent your identity or affiliation.

The Site and its content — including text, graphics, logos, designs, and the marks "Employee Benefits Solutions," "AutoCerts Essentials," "ACE," "Total Tech Protection," and "TTP" — are owned by or licensed to EBS and are protected by intellectual-property laws. Except for the limited license above, no rights are granted to you. You may not use our names or marks without our prior written consent.

The Site may contain links to third-party websites and services, including the PrismHR Marketplace and program administrators. We provide these links for convenience and do not endorse or assume responsibility for third-party sites, content, products, or services. Your dealings with third parties are solely between you and them.

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EBS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF — OR INABILITY TO USE — THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
8. Indemnification
You agree to indemnify and hold harmless EBS and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.
9. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Montana, and you consent to personal jurisdiction there. This section governs disputes about the Site only. Disputes about a specific benefit program (such as the AutoCerts Essentials Service Guarantee, which is administered under its own terms and Florida law) are governed by that program's agreement, including any arbitration or class-action-waiver provisions it contains.
10. Changes to These Terms
We may modify these Terms from time to time. When we do, we will update the "Effective date" above and post the revised Terms on this page. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
11. Severability and Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and EBS regarding the Site and supersede any prior agreements on that subject.
